The first three quarters of financial year 2024/25, but especially the third quarter, were consistently pleasing for the Kapsch TrafficCom Group.

The Kapsch TrafficCom Group achieved a slight increase in revenues in the first half of FY 2024/25 and once again recorded significant project successes.

Summary of the resolutions of the Annual General Meeting

The first quarter of financial year 2024/25 shows a significant operational improvement for the Kapsch TrafficCom Group.

The Kapsch TrafficCom Group reached key milestones in the financial year 2023/24 that put the company back on a solid base for the future.

Kapsch TrafficCom AG has sold assets, generating total proceeds of close to EUR 11 million with full realization of variable purchase price components.

In the first three quarters of financial year 2023/24, a decisive course for the future was set by the Kapsch TrafficCom Group.

Kapsch TrafficCom AG hereby notifies pursuant to BörseG that the total number of voting rights amounts to a total of 14,300,000 at the end of November 2023.

The management board, with the approval of the supervisory board, determined the final number of new shares to be 1,300,000 ordinary no-par value bearer shares.

The Management Board resolved to pursue a capital increase from authorized capital by issuing up to 1,300,000 new ordinary voting shares.

Kapsch TrafficCom Group reached a decisive milestone in the first half of 2023/24 with the settlement of the arbitration proceedings with Germany.

The Supervisory Board has decided not to renew the Executive Board contract of Andreas Hämmerle, CFO of the company, which runs until 2024.

Kapsch TrafficCom AG currently expects a cash inflow in the amount of EUR 99.5m from the settlement in Germany.

Business developed well as expected in the first quarter of 2023/24. However, revenues and earnings were again impacted by numerous special effects.

The settlement agreement has now been executed and is effective. The payment of the amount of EUR 243 million has already been affected.

The settlement is expected to be formally finalized and executed in the coming days and thus becomes effective.

Kapsch TrafficCom recorded a slight increase in business in the financial year 2022/23, as expected, but EBIT remained significantly below expectations.

Kapsch TrafficCom AG announces that it has reached an agreement with its major financial creditors on a comprehensive restructuring of the financing. 

The Executive Board of Kapsch TrafficCom AG announces that the outlook to the financial year 2022/23, which ended on March 31, 2023, will probably not be met.
